These terms and conditions of use and booking (together with the documents referred to hereunder, the "Terms") sets forth the terms and conditions that apply to your use of our website at dockspot.com (our "site") and book services, whether as a guest or a registered user. Please read these Terms carefully before you use or access our site or make any bookings. By using or accessing our site, including making any bookings through our site, you indicate that you have read and accept these Terms and that you agree to abide by them. If you do not agree to these Terms, please refrain from using our or accessing site.

Information about us

Our site operated by SHM Dockspot, LLC ('we," "us," or "Dockspot").

Definitions

  • "Customer" means a customer who reserves and/or books one or more Services available via our site.
  • "Service" means a service offered via our site, such as a mooring at a marina and ancillary services such as electricity, facilities, breakfast, cleaning, and the like.
  • "Supplier" means a supplier of Services, such as marina operators, restaurants, and the like.

Accessing our site

Access to our site is permitted on a temporary basis, and we reserve the right to withdraw or amend the Services we provide on our site without notice. We will not be liable if for any reason our site is unavailable at any time or for any period.

From time to time, we may restrict access to some parts of our site, or our entire site, for any reason or for no reason. Scraping or other extraction of data on our site through automated means is strictly prohibited.

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms.

When using our site, you must comply with the provisions of our acceptable use policy set forth herein.

You are responsible for making all arrangements necessary for you to have access to our site. You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these Terms, and that they comply with them.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE THREE (3) MONTH PERIOD PRIOR TO THE OCCURRENCE GIVING RISE TO ANY CLAIM. CERTAIN STATE OR NATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

You agree to defend, indemnify, and hold us harmless, including our parents, subsidiaries, affiliates, and all of our respective officers, employees, and agents from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party arising out of: (1) your use of the site; (2) your breach of these Terms; or (3) your violation of the rights of a third party, including but not limited to intellectual property rights. Notwithstanding the foregoing unless prohibited by applicable law, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

Information about you and your visits to our site

We process information about you in accordance with our Privacy Policy. By using our site, you consent to such processing and you warrant that all data provided by you is complete and accurate. By using the site, you represent and warrant that: (1) all registration information and other information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms; (4) you are not under the age of 18; (5) you are not a minor in the jurisdiction in which you reside; (6) you will not access the site through automated or non-human means, whether through a bot, script or otherwise; (7) you will not use the site for any illegal or unauthorized purpose; and (8) your use of the site will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the site (or any portion thereof).

The information provided on the site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the site from other locations do so on their own initiative and are solely responsible for compliance with local laws to the extent local laws are applicable.

Services booked through our site

We operate our site and act as an interface between the Customer and the Suppliers with respect to offering and supplying all Services. We are an intermediary only.

The Customer’s contract is with the respective Supplier and we are not responsible for the quality, delivery, operation, or any other aspect of the Services.

The Customer must be at least 18 years old, be legally authorized to enter into contractual obligations, have the requisite consent or authority to act for and on behalf of any persons included in the transaction, and must use our site in accordance with these Terms and the applicable Supplier terms and conditions. These Terms supplement all Supplier terms and conditions.

If the Customer does not present themself at the relevant place at the relevant time to make use of the Services in question, no refund will be due to the Customer.

It is possible that, from time to time, for technical reasons, for reasons of force majeure, or because of the actions of a third party, the Services originally booked are replaced by similar Services (including but not limited to, a different berth than the one originally booked).

It is possible that, from time to time, particular Services offered by the Suppliers that are shown in the description of the booking on our site are cancelled, for example as a result of weather conditions or force majeure.

The local authorities in certain countries may impose additional taxes (tourist tax, etc.) which have to be paid locally. The Customer is exclusively responsible for paying such additional taxes.

The price of the Services will be as quoted on our site from time to time, except in cases of obvious error. Prices may change at any time, but changes will not affect bookings already accepted. Despite our best efforts, some of the Services listed on our site may be incorrectly priced and we are under no obligation to provide Services to a Customer at an incorrect (lower) price, even after such Customer has been sent confirmation of their booking.

The prices on our website do not include insurance. You are therefore advised to obtain insurance that provides cover for certain special risks such as the cost of repatriation in the event of an accident or illness.

The Customer accepts that since we act as an interface only between the Customer and the Supplier, we will under no circumstances be held liable with respect to Services the Customer has booked with one or more Suppliers. The price for Services booked on our site must be paid directly to us. The booking is valid only after payment for the booked Services have been made.

Booking confirmation, changes and cancellations

A booking or order confirmation will be sent to the Customer by email. If the Customer does not receive a confirmation by email within 24 hours of when the booking was made, the Customer must contact customer services (see below).

Cancellations of or changes to Services may be made on the "My bookings" area of the site, and are subject to the respective Supplier’s terms and conditions. Change fees or cancellation fees may apply.

If you have purchased a cancellation right option (if available and as stated on our site from time to time), reservation changes or cancellations can be made up until 12.00 noon the day before arrival.

If you need assistance with changes or cancellations, please contact help@dockspot.com marked Cancellation/Change’. Should a refund be due to Customer, we will transfer the total paid marina fee minus any cancellation fee and/or booking fee to the Customer account used for the payment.

Fees and payment

We accept various methods of payment as indicated on the payment page of the site.  You agree to provide current, complete, and accurate purchase and account information for all purchases made via the site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. We bill you through an online billing service for purchases made via the site. Sales, use or similar taxes will be added to the price of purchases where we determine it is applicable – the total price including applicable taxes will be shown at check-out before you complete your purchase. All payments shall be in the currency indicated on the payment page.

You agree to pay all charges or fees at the prices then in effect for your Service purchases, and you authorize us to charge your chosen payment provider for any such amounts upon making your purchase. If your purchase is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation.

We also reserve the right to refuse any order placed through the site.

Uploading material to our site

Whenever you make use of a feature that allows you to upload material to our site, or to make contact with other users of our site, you must comply with the content standards set out in our acceptable use policy. You warrant that any such contribution does and shall comply with such standards, and you indemnify us for any breach of such warranty.

Any material you upload to our site will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose. We also have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of our site.

We have the right to remove any material or posting you make on our site if, in our opinion, such material does not comply with the content standards set out in our acceptable use policy.

We respect the intellectual property rights of others. If you believe that any material available on or through the Platform infringes upon any copyright you own or control, please immediately notify us using the contact information provided below.

Viruses, hacking and other offences

You must not misuse our site by introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorized access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack.

We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link from any website that is not owned by you.

Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page. We reserve the right to withdraw linking permission without notice. Visiting the site, communicating with us through the site, and completing online bookings and forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the site, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

Customer service and the handling of complaints

Queries or requests for information should be sent to help@dockspot.com. Complaints regarding Suppliers should be sent by email to help@dockspot.com within 30 days of the end of the visit in question. Complaints will not be considered after the above-mentioned 30-day period.

Trade marks

“dockspot.com” is a Swedish registered trade mark and “Dockspot” is a trade mark of Dockspot UK Limited.

Jurisdiction and applicable law; No class actions

Unless the laws of your jurisdiction require that those laws apply, these Terms and your use of the site are governed by and construed in accordance with the following, without regard to conflict of law principles: the laws of the United States of America and the State of Delaware, USA with venue in Kent County, Delaware. You and we agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, or feedback regarding the site (“Submissions”) provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

Miscellaneous

These Terms and any policies or operating rules posted by us on the site or in respect to the site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. These Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
